Terms of Reference (TOR) between Affiliate Marketers and Deefurse for the Marketing of Deefurse Products
1.Purpose: The purpose of this TOR is to outline the terms and conditions of the relationship between Affiliate Marketers and Deefurse for the marketing and promotion of Deefurse products.
2.Duration: This agreement shall commence once approved and shall remain in effect until terminated by either party with 10 days written notice.
3.Description of Affiliate Marketers: The Affiliate Marketers are independent contractors and not employees or agents of Deefurse. The Affiliate Marketers will promote Deefurse products through Marketing Channels, e.g. websites, social media and other legal platforms
4.Description of Deefurse Products: Deefurse produces high quality wearable tech fashion accessories. The Affiliate Marketers agree to promote and market only Deefurse products in accordance with Deefurse’s brand standards.
5.Commission: The Affiliate Marketers will earn a commission on sales made through unique affiliate links provided by Deefurse. The commission rate shall be 10%. Deefurse will provide the Affiliate Marketers with regular reporting of sales and commissions earned through unique dashboards on the website. Commissions will be paid once on the 15th day of each new month.
6.Marketing and Promotion: The Affiliate Marketers agree to promote Deefurse products in a professional, legal and ethical manner. The Affiliate Marketers will not engage in any deceptive or misleading advertising or marketing practices.
7.Intellectual Property: The Affiliate Marketers shall not use any Deefurse logos, trademarks, or other proprietary materials without prior written consent from Deefurse. The Affiliate Marketers shall not create or distribute any materials that are likely to confuse or mislead consumers into believing that they are associated with Deefurse.
8.Limitation of Liability: Deefurse shall not be liable for any damages arising out of or in connection with this agreement or the performance of the Affiliate Marketers. The Affiliate Marketers shall indemnify and hold harmless Deefurse against any claims, demands, damages, or costs arising from or in connection with the Affiliate Marketers’ promotion and marketing of Deefurse products.
9.Termination: Either party may terminate this agreement at any time for any reason upon 21 days written notice. Upon termination, the Affiliate Marketers shall cease promoting Deefurse products and shall return any Deefurse proprietary materials in their possession.
10.Governing Law: This agreement shall be governed by the laws of the Federal Republic of Nigeria.
11.Dispute Resolution: Any disputes arising from or in connection with this agreement shall be resolved through arbitration in accordance with the rules of the Federal Republic of Nigeria.
12.Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements, whether written or oral, relating to the subject matter.
13.Modification: This agreement may only be modified by written agreement between the parties.
14.Assignment: This agreement may not be assigned by either party without the prior written consent of the other party.
15.Information: The affiliate attests that all personal information provided to Deefurse are genuine and inputed willingly for processing affiliate application and due investigation for the onboarding process.
IN WITNESS WHEREOF, the parties have executed this agreement as of the date first written above.
